Terms of service

These Terms of Service ("Terms") govern your access to and use of the Ultraria website and the Ultraria service (together, the "Service") provided by Ultraria ("we", "us"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Ultraria provides automated monitoring of the U.S. SAM.gov Opportunities API and delivery of filtered alerts (email digests and a web dashboard) to subscribed customers. Ultraria is not affiliated with the U.S. General Services Administration, the SAM.gov platform, or any other U.S. government agency.
2. Eligibility
You must be at least 18 years old and able to form a binding contract under applicable law to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials (including any magic-link emails) and for all activity that occurs under your account. Notify us promptly at security@ultraria.com of any unauthorized access.
4. Subscriptions, billing, and cancellation
- The Service is offered on a monthly subscription basis at the price stated on the pricing page.
- Subscriptions renew automatically each month until cancelled.
- You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for partial months unless required by law.
- If a payment fails, we will retry per Stripe's standard dunning schedule and will pause the Service if payment is not resolved within 14 days.
- Free trials end automatically after the stated trial period unless explicitly converted to a paid subscription. We will not charge a card without explicit consent at trial conversion.
5. Acceptable use
You agree not to:
- Reverse-engineer, scrape, or systematically copy the Service in a way that creates a competing product.
- Use the Service to send unsolicited bulk messages or to violate any applicable law.
- Resell or sublicense the Service without our written consent.
- Attempt to interfere with the security or integrity of the Service.
- Use the Service to violate the SAM.gov terms of use or any U.S. federal contracting law.
6. Data and content
The opportunity data delivered through the Service originates from the public SAM.gov Opportunities API and is provided "as is." We make reasonable efforts to deliver complete and timely data but cannot guarantee that the SAM.gov API is itself complete, accurate, or available. You are responsible for verifying any opportunity directly on SAM.gov before relying on it.
You retain ownership of all customer data you provide to the Service (filter configurations, contact details). You grant us a limited, non-exclusive license to use that data solely to operate, maintain, and improve the Service.
7. Intellectual property
The Service, including its software, design, and content, is owned by Ultraria and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of the Service to you.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that all relevant SAM.gov opportunities will be surfaced.
9. Limitation of liability
To the maximum extent permitted by law, in no event will Ultraria's total liability for any claim arising out of or relating to the Service exceed the amount you paid for the Service in the 12 months preceding the claim. Ultraria will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, regardless of legal theory.
10. Indemnification
You agree to indemnify and hold harmless Ultraria, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising out of your breach of these Terms or your misuse of the Service.
11. Termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, or activity that places the Service at legal risk. We will give reasonable notice where practical.
12. Changes to these Terms
We may modify these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
