Terms of Service

Welcome to Ultraria. These Terms of Service (“Terms”) form a legally binding agreement between you (“you,” “Customer”) and the company operating Ultraria (“Ultraria,” “we,” “us”) governing your access to and use of the Ultraria website, dashboard, email digests, and related services (collectively, the “Service”). By creating an account, starting a free trial, or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Ultraria is — and what it is not
Ultraria is an independent commercial software service that scans publicly available federal contracting data (primarily from SAM.gov) and emails subscribers a filtered digest of opportunities matching their stated preferences.
Ultraria is not affiliated with, endorsed by, or sponsored by the U.S. Government, the General Services Administration (GSA), the Small Business Administration (SBA), SAM.gov, or any other federal, state, or local government agency. References to government programs (including 8(a), HUBZone, WOSB, EDWOSB, SDVOSB, and similar designations) are descriptive only.
Ultraria does not provide legal, accounting, procurement, bidding, or business advice. The Service surfaces information; every decision about whether to pursue, prepare, or submit a bid is yours alone. Ultraria is not a contractor, broker, agent, capture manager, or proposal writer.
2. Eligibility & account
You must be at least 18 years old and authorized to bind the entity you represent. You agree to provide accurate, current information at signup, to keep your login credentials confidential, and to be responsible for all activity under your account.
3. Subscriptions, billing, and trials
Plans are listed on our pricing page in U.S. dollars and billed monthly through Stripe, Inc. (our payment processor). If you start a free trial, you authorize Ultraria to charge your payment method automatically at the end of the trial unless you cancel before the trial ends. You can cancel at any time from your account dashboard; cancellation takes effect at the end of the current billing period.
Auto-renewal disclosure: All paid plans are recurring subscriptions. Your payment method will be charged automatically at the beginning of each billing period until you cancel.
Prices may change with at least 30 days’ advance email notice. Continued use after the change takes effect constitutes acceptance of the new price.
4. Refund policy
See our Refund Policy. In short: cancel anytime; we do not pro-rate or refund partial months. Charges that clearly result from our error (duplicate billing, billing after a completed cancellation) will be refunded promptly upon notice.
5. Acceptable use
You agree not to:
- Resell, redistribute, or republish Ultraria-generated digests or dashboard data as a paid product;
- Scrape, mass-export, or systematically harvest the Service beyond the rate limits we publish;
- Use the Service to send unsolicited communications to third parties;
- Reverse engineer, decompile, or attempt to extract source code or underlying data structures;
- Misrepresent the Service as your own or as government-endorsed;
- Use the Service in violation of any applicable law or regulation, including federal procurement integrity requirements.
6. Data accuracy — AS IS disclaimer
Federal contracting data is published by the U.S. Government and may be incomplete, delayed, mis-categorized, or out of date. We make commercially reasonable efforts to scan SAM.gov regularly and to deliver matches accurately, but we do not warrant the completeness, accuracy, timeliness, or fitness for any purpose of any opportunity, deadline, set-aside designation, NAICS code, or other data surfaced through the Service. Always verify on SAM.gov directly before relying on any information for a real bid decision.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ULTRARIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6a. Bid-preparation tools
The Service includes optional bid-preparation tools, including the capability statement builder (with industry templates, phrase library, past-performance database, and cover-letter generator) and the bid scorecard / Pwin calculator. By using these tools you acknowledge:
- Templates and phrase libraries are format suggestions, not factual claims about your company. Bracketed placeholders ([N], [X], [YYYY], example agency names) are prompts to be replaced with verified facts. You are solely responsible for the accuracy of every word in any submission you generate.
- The Pwin / bid scorecard is a heuristic estimate, not a prediction. Numerical outputs are rule-of-thumb signals intended to support your judgment, not replace it. We make no representation that any score correlates with actual award probability.
- Past-performance entries you log must be accurate.Misrepresenting role (Prime vs Sub), dollar value, scope, or period of performance to a federal agency can trigger False Claims Act liability (31 U.S.C. § 3729), criminal exposure under 18 U.S.C. § 1001, and suspension/debarment under FAR Subpart 9.4. Ultraria does not verify or audit anything you enter.
- Outreach tools (cover letter generator, OSDBU directory) require you to actually click Send. The Service never transmits anything to government recipients on your behalf. Every email opens in your own email client for your review and approval.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ULTRARIA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST CONTRACTS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.
ULTRARIA’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID ULTRARIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).
8. Indemnification
You will defend, indemnify, and hold harmless Ultraria from any claim, demand, or damages arising out of (a) your misuse of the Service, (b) your violation of these Terms or applicable law, or (c) your business activities — including any contract you bid on or are awarded — that are influenced by, but not the responsibility of, the Service.
9. Intellectual property
Ultraria owns all rights to the Service, the Ultraria name, logo, wordmark, and underlying software. Federal contracting data is in the public domain and is not owned by Ultraria. You may use Ultraria digests internally for your own bid evaluation. You may not republish, white-label, or sell Ultraria output as a competing service.
10. Termination
You may cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms, fail to pay, or engage in conduct that risks harm to other customers or to the Service. On termination, your right to use the Service ends immediately; provisions reasonably intended to survive (including Sections 6, 7, 8, 9, and 11) survive.
11. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in English, in Wilmington, Delaware. You and Ultraria waive any right to a jury trial or to participate in a class action. This clause does not bar small-claims-court actions in your local jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
